Terms & Conditions

Please read these Terms and Conditions carefully before using our websites, including onlineaudioconverter.net.

This document explains the rules (“Terms”) that apply when you use our websites, including onlineaudioconverter.net and any other websites we operate (together, the “Website”). These terms form a legal agreement between you and us (“we”, “us”, or “onlineaudioconverter.net”).

By visiting, accessing, or otherwise using the Website in any way, you confirm that you understand and agree to these Terms. In this document, “you” or “your” means you personally, as well as any organisation you represent, your representatives, successors, assigns, affiliates, and any devices you use to access the website.

If you do not agree with these terms, please stop using the website immediately.

Let me know if you’d like me to:

Rewrite it in a more formal/legal tone instead.
Shorten it further into bullet points.
Translate it into Urdu or Roman Urdu.
Continue rewriting the rest of the terms document if you have more sections

Age Requirement

To use the website, you must be at least 18 years old, or, if the legal age of adulthood in your country or region is older than 18, you must meet that higher age requirement instead. You may not use the website in any place where doing so would be against the law.

Consideration

In exchange for your agreement to these Terms, we are granting you permission to use the Website, as described in Section 2. By using the website, you confirm that you accept this arrangement as fair and sufficient and that you have, in fact, received this benefit.

We give you a limited, non-exclusive, and non-transferable right to access and use the Website, including all its content (“Content”), on your computer or mobile device, subject to these Terms and any restrictions we set. This right is only for your personal, non-commercial use.

Termination

We can end this right at any time, for any reason, at our own discretion with or without notice. If we do so, we may (but are not required to):

Delete or deactivate your account.
Block your email address and/or IP address, or otherwise stop you from using the website.
Remove or delete any content you submitted (“User Submissions”).

Once your access is terminated, you agree not to use or try to use the website again. All other parts of these Terms will continue to apply even after termination. You also agree that we are not responsible to you or anyone else for ending your access to the website.

Ownership of Content

Except for user submissions and third-party content (explained below), all other content on the website, including text, images, photos, music, videos, software, scripts, trademarks, service marks, and logos (together, “proprietary materials”), is owned by us or licensed to us.

These proprietary materials are protected under copyright, trademark, and other applicable laws, both local and international. We retain all rights to our proprietary materials.

Restrictions on Use

Unless we specifically allow it, you agree that you will not copy, modify, publish, transmit, distribute, sell, transfer, or create derivative works from any part of the Content, or use it in any other way not permitted by these Terms.

You are fully responsible for anything you upload, submit, create, modify, or make available through the website, including any sound files you create, modify, transmit, or download (collectively, “User Submissions”). Note that submissions cannot always be taken back once made. If you share personal information in a submission, it may make you personally identifiable, and we do not guarantee confidentiality.

Your Responsibilities and Promises

For everything you submit, you confirm that:

You own, or have proper permission/license, to use and let us use any trademarks, copyrights, trade secrets, or other rights connected to your submission.
You will not post (or let others post) any sexually explicit material.
You have written consent from every identifiable person in your submission to use their name and/or likeness.

You also agree that you will not upload or share content that:

Violates someone else’s copyright, trademark, trade secret, or privacy/publicity rights (unless you own those rights or have permission).
Is obscene, vulgar, illegal, defamatory, fraudulent, harmful, abusive, threatening, hateful, discriminatory, or otherwise inappropriate (as judged by us).
Depicts illegal activity, promotes harm to people or animals.
Impersonates someone else or misrepresents your identity.
Encourages or provides instructions for a crime or violates any law.
Is spam or unauthorised advertising.

Ownership and Licence

We don’t claim ownership over your submissions or third-party content; you (or the rightful owner) retain the copyright. However, by submitting content, you give us a permanent, worldwide, royalty-free, and transferable licence to use, reproduce, display, distribute, modify, translate, and create derivative works from your submissions for any purpose related to the Website. You also give up any claims to “moral rights” or attribution related to your submissions, both against us and other users.

You confirm that you have full legal rights to grant this licence, meaning you own the content, have the right to upload/share it, and that doing so won’t violate anyone else’s rights or any agreements you’re bound by.

Our Rights

We may, at our own discretion, refuse to publish, remove, or block any submission for any reason, at any time, with or without notice.

Your Liability

If a third party makes a legal claim against us because your submission (or your misuse of the Website) infringes on their rights or breaks the law, you agree to defend us in that matter and cover any resulting damages, legal fees, and costs.

Third-Party Content

While using the website, you’ll be exposed to content from various sources: other users, services, and automated systems (collectively, “Third-Party Content”). We do not control this content and are not responsible for it.

You understand you may come across content that is inaccurate, offensive, indecent, or otherwise objectionable, or that could harm your computer or devices. By using the website, you waive any legal claims or remedies you might otherwise have against us related to such content.

We don’t own or control third-party content; the original creators/owners retain all rights to it and are responsible for protecting those rights themselves.

No Obligation to Monitor

We are not responsible for monitoring the website for inappropriate content or behaviour. If we do choose to monitor content at our discretion, we still take no responsibility for it, have no obligation to remove or modify it (including user submissions or third-party content), and are not responsible for the actions of anyone who posts such content.

Content Provided “As-Is”

All content on the website, including user submissions and third-party content, is provided “as-is” for your personal, informational use only. You may not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise use this content for any other purpose without prior written permission from its rightful owner.

Our Right to Remove Content

We may, at our sole discretion, refuse to publish, remove, or block access to any content for any reason, at any time, with or without notice.

Your Representations

You confirm that all information and content you provide us is accurate and current and that you have full legal right and authority to (i) agree to these Terms, (ii) submit your User Submissions, and (iii) fulfil your obligations under these Terms.

You also agree that we may monitor, record, and log your activity on the website.

Rules for Using the Website

As a condition of using the website, you agree that you will:

Not use the website for any unlawful purpose or in violation of these terms.
Follow all applicable local, national, and international laws.
Not expose us to any criminal or civil liability
Take full responsibility for your own actions on the website.
Only submit content you have full rights to share.
Not use bots, crawlers, or data-mining tools to access or download website content
Not place excessive strain on our servers or technical systems
Not stalk or harass anyone through the website.
Not fake or manipulate headers/identifiers to hide where your data comes from
Not bypass or interfere with any security features or usage restrictions
Not upload viruses, malware, or harmful code
Not sell, sublicense, or commercially exploit the Website or its content
Not “frame” or “mirror” the website on another site
Not reverse-engineer any part of the website

Consequences of Violations

We reserve the right to take action against anyone who misuses the website, including legal action, blocking access, or terminating your account. Unauthorised use of the website may also violate applicable criminal and civil laws.

Financial Penalties for Violations

In addition to losing access to the website, violating this section may result in a $10,000 penalty per violation. If your violation leads to legal action or causes physical/emotional harm to someone, the penalty increases to $150,000 per violation. We may also transfer this claim to any third party harmed by your actions.

These amounts are described as a reasonable estimate of potential damages, not a punishment — and are treated as a minimum, meaning you could be liable for more if actual damages are higher. If a court finds part of this penalty unenforceable, it will only be reduced as much as legally necessary.

Purpose of the Website

You acknowledge that the website functions as a general-purpose search engine and tool. This includes, but isn’t limited to, allowing you to search multiple websites for music and to download audio from videos or other sources on the internet.

The website must only be used in ways that comply with the law. We do not encourage, support, or allow any use of the Website that violates any law.

Data Storage

We do not store your user submissions for any longer than a brief, temporary period just long enough to allow you to download your content.

We reserve the right to charge for any of our services and to change our fees at any time, at our sole discretion.

If we terminate your access to the Website due to a breach of these Terms, you will not be entitled to a refund for any fees already paid.

Beyond this, any fees are also subject to additional rules or terms posted on the website or those set by any payment processor or sales partner we work with, which may be updated from time to time.

We maintain a separate privacy policy, and by agreeing to these terms, you also agree to our privacy policy.

We may update the Privacy Policy at any time simply by posting the changes on the website; we are not required to notify you separately. If you continue using the website after such updates, this will be treated as your acceptance of the changes, whether or not you actually read them.

Copyright and Intellectual Property

We respect the intellectual property rights of others, and you must not infringe anyone’s copyright, trademark, or other proprietary rights. We may remove any content we believe violates such rights and may terminate your access to the website if you submit infringing material.

Repeat Infringer Policy

If we receive three valid, good-faith complaints about a user’s content within any six-month period, that user’s access to the website will be terminated.

DMCA Compliance

Although we are not legally bound by U.S. law, we voluntarily comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyrighted work has been infringed on our website, you can notify our designated agent:

Copyright Agent
DMCA Now LLC
512 Lucerne Ave.
Lake Worth, FL 33460
United States
Email: [email protected] or [email protected]
Fax: +1 (800) 371-0235

Notices that are irrelevant or legally ineffective will not receive a response.

A valid infringement notice must include:

A description and, if possible, a link to the original copyrighted work.
A description and link/location of the material you believe is infringing.
Your contact information (address, phone number, and email if available).
A statement that you believe in good faith that the use is unauthorised.
A statement, made under penalty of perjury, confirming you are the copyright owner or authorised to act on their behalf.
Your physical or electronic signature.

Counter-Notification

If your content was removed due to a copyright complaint, you may submit a counter-notice to the same agent. It must include:

Your physical or electronic signature.
A description of the removed material and its original location on the website.
A statement, under penalty of perjury, that you believe the removal was a mistake or misidentification.
Your name, address, phone number, and email, along with a statement agreeing to the jurisdiction of courts where you’re located, in Anguilla, and wherever the copyright owner is located.
A statement that you will accept legal documents (service of process) from the copyright owner or their representative.

We may update these terms at any time by posting the revised version on the website. We are not required to notify you separately about any changes.

By continuing to use the website after such updates, you agree to accept the amended terms, whether or not you have actually read them.

Indemnification

You agree to compensate us for and protect us against any damages, third-party claims, or expenses (including legal fees) that arise from your use of the Website or your violation of these Terms.

Release of Claims

If you have a dispute with another user or any third party, you agree to release us, along with our officers, employees, agents, and successors, from any and all claims, demands, or damages of any kind, whether known or unknown, suspected or not, and whether disclosed or undisclosed, that relate to that dispute or your use of the Website.

The website may contain links to other websites that we do not control or operate. We are not responsible for the content, privacy practices, or accuracy of any third-party websites, and we have no ability to edit them. You agree that we are not liable for anything that happens as a result of your use of third-party websites.

No Warranties

The website is provided “as-is”, with no warranties of any kind, express, implied, or otherwise. We do not guarantee the Website is free from defects, viruses, or interruptions, and we specifically disclaim any implied warranties (such as merchantability, fitness for a particular purpose, accuracy, or non-infringement).

Note: Some jurisdictions don’t allow such disclaimers, so these limitations may not fully apply to you depending on where you live.

Limitation of Liability

Under no circumstances will we be liable for any direct, indirect, incidental, special, consequential, or exemplary damages even if we were warned such damages could occur resulting from:

Your use, misuse, or inability to use the website
Your reliance on any website content
Any interruption, suspension, or discontinuation of the website
Termination of your access by us

This also applies to damages related to any other products or services advertised through the Website.

Note: Some jurisdictions don’t allow these limitations either, so they may not fully apply to you.

No Guarantees

We do not promise that:

The website will meet your expectations or needs.
It will be uninterrupted, secure, or error-free.
Results from using the website will be accurate or reliable.
Any errors will be corrected.

Your Own Risk

Any content you access through the website is used at your own risk. You are solely responsible for any damage to your device or data loss resulting from that content.

Your Only Remedy

If you’re unhappy with the website for any reason, your only remedy is to stop using it. In no case will our total liability to you exceed $100.

Governing Law

These Terms, and any disputes arising between you and us, are governed by the laws of Anguilla, regardless of conflict-of-law principles.

Jurisdiction and Venue

If you bring a claim against us, you agree that it must be filed exclusively in the courts of Anguilla, and you consent to their jurisdiction.
If we bring a claim against you, you agree that we may pursue it in the courts of Anguilla or wherever else you can be legally found.

You give up any right to argue that this location is an improper or inconvenient venue.

No Class Actions

You agree to bring any claims only as an individual, not as part of a class action, group lawsuit, or representative claim.

Waiver of Jury Trial

As part of agreeing to these Terms, you waive your right to a jury trial for any dispute related to these Terms or the Website. This waiver remains valid even if other dispute-resolution provisions in this section are found unenforceable.

Entire Agreement

These Terms (as updated from time to time) represent the complete agreement between you and us, replacing any prior agreements. They cannot be changed unless we agree to it in writing.

No Waiver

If we don’t enforce a particular rule at some point, that doesn’t mean we give up our right to enforce it later.

Severability

If any part of these Terms is found to be invalid or unenforceable under the law, that part will be replaced with a valid provision that best reflects its original intent, while the rest of the Terms remain fully in effect.

No Third-Party Rights

Nothing in these Terms gives any rights or benefits to anyone other than you and us.

Assignment

You may not transfer, assign, or sublicense your rights under these Terms without our written permission. However, we may transfer or assign our rights freely, without restriction.

Notices

You agree that we may notify you via email, regular mail, or by posting updates on the website.

Section Titles

The headings used in these terms are for convenience only and do not affect their legal meaning.

Interpretation

The word “including” in these terms means “including, but not limited to”; it is not a complete or exhaustive list.

Language

If these terms are translated into another language and there’s a conflict with the English version, the English version will take priority.

That completes the full rewritten Terms and Conditions. Let me know if you’d like me to:

Compile everything into one clean, complete document (Word or PDF).
Adjust the tone (more formal, more casual, or bullet-style).
Translate the full document into Urdu or Roman Urdu.
